This Evaluation License, Purchase, and Non-Disclosure Agreement (this "Agreement") is a binding contract between Nick Dranias Law & Policy Analysis LLC, an Arizona limited liability company ("Licensor"), and the individual or entity that accepts this Agreement by any of the methods described in Section 11 below ("Tester"). This Agreement governs Tester's purchase and use of a limited evaluation license for the Max Qwen 3.8 27B EE Adapter and all accompanying materials. The "Effective Date" is the earlier of (a) the date on which Tester clicks "I Accept" (or any similar affirmative acceptance control), (b) the date on which Tester completes a purchase transaction for the Adapter, or (c) the date on which Tester first downloads, installs, copies, or uses any Confidential Materials.
1. Confidential Materials. "Confidential Materials" means all materials and information Licensor furnishes to Tester in connection with this evaluation, including without limitation: (a) Licensor's low-rank adaptation (LoRA) adapter weights in any format (MLX, PEFT, or otherwise), and any checksums, seals, or manifests accompanying them; (b) the Max system prompt and any prompt, template, or configuration materials; (c) test scripts, harnesses, documentation, and setup instructions; (d) all outputs, completions, and reasoning chains generated by any model running the adapter; and (e) any information concerning Licensor's training data, training methods, framework content, or product plans that Tester learns or infers in the course of the evaluation. Tester acknowledges that the Confidential Materials constitute trade secrets of Licensor within the meaning of the Arizona Uniform Trade Secrets Act, A.R.S. § 44-401 et seq., and the federal Defend Trade Secrets Act, 18 U.S.C. § 1836 et seq., that they derive independent economic value from not being generally known, and that Licensor takes reasonable measures, including this Agreement, to maintain their secrecy. The publicly available base model (Qwen 3.8 27B and derivatives thereof distributed by third parties under the Apache License 2.0) is not Confidential Material; Tester obtains it independently and Licensor licenses nothing with respect to it.
2. Purchase; License Fee. (a) License Fee. In consideration of the evaluation license granted in Section 3, Tester shall pay Licensor a one-time license fee in the amount displayed at the point of purchase (the "License Fee"). The License Fee is due and payable in full at the time of purchase and is non-refundable except as provided in Section 2(b).
(b) Refund Period. If Tester has not downloaded or installed any Confidential Materials, Tester may cancel the purchase and obtain a full refund of the License Fee by notifying Licensor in writing (email sufficient) within fourteen (14) calendar days after the Effective Date (the "Refund Period"). Upon cancellation, this Agreement terminates and Tester shall have no further rights to the Confidential Materials. Once Tester downloads or installs any Confidential Materials, the License Fee is non-refundable and the refund right under this Section 2(b) expires, regardless of whether the Refund Period has elapsed.
(c) Taxes. The License Fee is exclusive of all taxes, levies, and duties. Tester is responsible for all applicable taxes, excluding taxes based on Licensor's net income.
3. Limited Evaluation License. Subject to Tester's payment of the License Fee and compliance with this Agreement, Licensor grants Tester a personal, non-exclusive, non-transferable, non-sublicensable, royalty-free (beyond the License Fee), revocable license, during the Term only, to install the adapter weights on hardware under Tester's exclusive control and to run them for inference solely to evaluate their performance and to report observations and results to Licensor. No other right or license is granted, by implication, estoppel, or otherwise.
4. Restrictions. Tester shall not, and shall not permit any third party to: (a) disclose, distribute, publish, sell, lease, or otherwise make available the Confidential Materials or any portion of them to any person; (b) use the Confidential Materials for any commercial purpose or in any production system; (c) train, fine-tune, or adapt any model using the Confidential Materials or any outputs generated under this Agreement, or use such outputs for distillation, imitation training, or dataset construction; (d) merge the adapter into base weights, extract, decompose, or analyze the adapter weights, or otherwise reverse engineer the Confidential Materials, except for the ordinary act of loading the adapter for inference; (e) publish, post, or disclose any benchmark, evaluation result, output, or description of the adapter's behavior to anyone other than Licensor; (f) remove or alter any proprietary notice; or (g) run the adapter on any shared, hosted, or third-party-accessible system without Licensor's prior written consent.
5. Confidentiality. Tester shall hold the Confidential Materials in strict confidence, use them solely as licensed in Section 3, and protect them with at least the degree of care Tester uses for Tester's own most sensitive information, and no less than reasonable care. These obligations do not apply to information that Tester demonstrates (a) was publicly known through no act or omission of Tester, or (b) was lawfully received from a third party without duty of confidentiality. Tester's confidentiality obligations survive termination of this Agreement and continue for so long as the Confidential Materials remain trade secrets under applicable law.
6. Ownership; Feedback. As between the parties, Licensor owns all right, title, and interest in and to the Confidential Materials, including all intellectual property rights therein. Tester hereby grants Licensor a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and exploit for any purpose all feedback, observations, test results, and suggestions Tester provides.
7. No Warranty; No Reliance. THE CONFIDENTIAL MATERIALS ARE PROVIDED "AS IS" FOR EVALUATION ONLY, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MODEL OUTPUTS ARE EXPERIMENTAL, MAY BE INACCURATE, AND DO NOT CONSTITUTE LEGAL, PROFESSIONAL, OR OTHER ADVICE. TESTER SHALL NOT RELY ON ANY OUTPUT FOR ANY DECISION.
8. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE TO TESTER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE CONFIDENTIAL MATERIALS, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE LICENSE FEE ACTUALLY PAID BY TESTER. THE FOREGOING LIMITATIONS SHALL NOT LIMIT TESTER'S OBLIGATIONS UNDER SECTIONS 4, 5, OR 10.
9. Term; Termination; Return. This Agreement runs from the Effective Date for ninety (90) days unless extended in writing or terminated earlier by Licensor on written notice (email sufficient), with or without cause (the "Term"). Upon termination, expiration, or Licensor's request, Tester shall permanently delete all copies of the Confidential Materials, including adapter weights, prompts, scripts, and stored outputs, from all systems and media, and shall certify deletion in writing within five (5) days. Sections 1, 4–8, and 10–14 survive termination.
10. Remedies. Tester acknowledges that unauthorized use or disclosure of the Confidential Materials would cause Licensor irreparable harm for which monetary damages would be inadequate, and agrees that Licensor is entitled to seek injunctive relief, without posting bond, in addition to all other remedies at law or in equity.
11. Acceptance; Formation of Contract. (a) Methods of Acceptance. Tester accepts this Agreement and forms a binding contract with Licensor by the earliest of: (i) clicking "I Accept" or any similar affirmative acceptance control presented in connection with this Agreement; (ii) completing a purchase transaction for the Adapter; or (iii) downloading, installing, copying, or using any Confidential Materials. Each such act constitutes Tester's electronic signature to this Agreement for purposes of the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Arizona Uniform Electronic Transactions Act (A.R.S. § 44-7001 et seq.).
(b) Rejection. If Tester does not agree to all terms of this Agreement, Tester must not click "I Accept," must not complete any purchase, and must not download, install, copy, or use the Adapter or any Confidential Materials. If Tester has already purchased a license and wishes to reject these terms, Tester may obtain a refund as provided in Section 2(b), provided no Confidential Materials have been downloaded or installed.
(c) Authority. If Tester is accepting this Agreement on behalf of an entity, Tester represents and warrants that Tester has authority to bind that entity, and "Tester" shall refer to such entity.
(d) Record Retention. This Agreement is included in the delivered package accompanying the Confidential Materials. Tester is advised to retain a copy for Tester's records.
12. Notices. All notices, requests, demands, and other communications required or permitted under this Agreement shall be in writing. Notices to Tester shall be deemed effectively given when sent by email to the email address Tester provides at the time of purchase (the "Purchase Email"). Tester consents to receive all communications under this Agreement, including notices of termination, requests for certification of deletion, and amendments, at the Purchase Email. It is Tester's sole responsibility to maintain a current, active email account at the Purchase Email address and to monitor it for communications from Licensor; notices sent to the Purchase Email are effective regardless of whether Tester actually reads them. Tester may update the Purchase Email by written notice to Licensor at the contact address provided on Licensor's website. Notices to Licensor shall be sent to the contact address posted on Licensor's website or otherwise communicated to Tester in writing.
13. Notice of Immunity (18 U.S.C. § 1833(b)). Tester is notified that, under the Defend Trade Secrets Act, an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that is made (a) in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law, or (b) in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.
14. General. This Agreement is governed by the laws of the State of Arizona, without regard to conflicts-of-law principles, and the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona. This Agreement is the entire agreement of the parties concerning its subject matter and supersedes all prior discussions. It may be amended only by a writing signed (including electronically) by both parties, and may not be assigned by Tester. If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remainder shall continue in effect. No failure to enforce any provision waives it.
This Agreement has been executed by Licensor as of the date set forth below and constitutes a standing offer that becomes binding upon Tester's acceptance as described in Section 11.

TESTER ACCEPTANCE
No separate signature is required. By clicking "I Accept," completing a purchase, or downloading, installing, copying, or using the Adapter or any accompanying materials, Tester accepts all terms above and forms a binding agreement with Licensor as of the date of such act.
